RunAgents Terms of Service

These Terms govern your use of RunAgents ("RunAgents", "we", "us"). By using RunAgents you agree to these Terms and to our Privacy Policy. If you accept on behalf of an organization, you confirm that you are authorized to bind it. You must be at least 18.

Access and licence

We grant you a non-exclusive, non-transferable right to access and use RunAgents for your internal business purposes during your subscription, subject to these Terms. You are responsible for your account, your users, and keeping your credentials secure.

Acceptable use

You will not use RunAgents to monitor or profile private individuals, or any person outside their public or professional capacity, or to conduct unlawful surveillance, harassment, or discrimination, or to track any entity for which you lack a lawful basis. You will not resell or redistribute our data as a competing dataset, reverse engineer the service, or circumvent its security or usage limits.

The intelligence you configure

When you use RunAgents to monitor entities you choose, you are the controller of the resulting data and we process it on your behalf. You represent that you have a lawful basis to do so and have given any notices and obtained any consents required of you. You are responsible for your use of the results, including any decision to act on or share them. A Data Processing Addendum is available on request.

AI-generated content

Parts of the service are produced by automated and AI-assisted analysis and may be inaccurate, incomplete, or out of date, including statements about third parties. Outputs are provided for your internal evaluation only. You are responsible for verifying anything before relying on it, acting on it, or sharing it. You will not present outputs as our factual assertion about any third party.

Fees and billing

Fees, billing cycles, and any trial terms are shown at purchase and are processed by our payment provider. Subscriptions renew until cancelled, and cancellation takes effect at the end of the current billing period. Taxes are your responsibility except those on our income.

Refunds

If you cancel a paid subscription, we refund the unused portion of your current billing period on a pro-rata basis. For usage-based plans, credits already used are non-refundable; unused credits expire twelve months after purchase and are refunded on request before they expire.

Disclaimer

The service is provided on an as-is and as-available basis, without warranties of any kind, including any warranty as to the accuracy of outputs or intelligence. We do not guarantee that the service will be uninterrupted or error-free, and we make no uptime commitment unless separately agreed in writing.

Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages, or for lost profits or data, and our total aggregate liability will not exceed the greater of the fees you paid us in the 12 months before the claim or USD 100. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Indemnity

You will defend and indemnify us against claims arising from your use of the service, your choice of monitored entities and your lawful basis for them, your breach of these Terms, or your violation of law or third-party rights.

Termination

Either party may terminate for material breach not cured within 30 days. We may suspend access for conduct that creates legal risk or harm. On termination your right to use the service ends.

General

The Disclaimer, Limitation of liability, Indemnity, and Governing law sections survive termination. Neither party is liable for delay or failure caused by events beyond its reasonable control. If any provision is held unenforceable, the remainder stays in effect. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. These Terms are the entire agreement between us on their subject matter, and a failure to enforce a provision is not a waiver. Notices to us go to legal@runagents.co.

Governing law

These Terms are governed by the laws of India, and the courts of Mumbai have exclusive jurisdiction.

Changes and contact
