Welcome to runAgents. These Terms and Conditions ("Terms") form a legally binding agreement between you (or the organisation you represent) and runAgents. By signing up, accessing, or using runAgents in any way, you agree to be bound by these Terms in their entirety. If you do not agree, do not use our service.

These Terms are governed by and operated under the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000 (as amended), and the Digital Personal Data Protection Act, 2023.

1. Who We Are

runAgents is a Software-as-a-Service (SaaS) platform that allows non-technical teams to deploy, manage, monitor, and debug AI agents — specifically OpenClaw-based agents — through a graphical dashboard. No code or terminal required.

runAgents is an infrastructure and deployment platform only. We do not build, train, fine-tune, control, supervise, or audit the AI agents that run on our platform. We provide the tools. You own the agent, its configuration, its actions, and its consequences.

2. Definitions

  • "runAgents," "we," "us," or "our" — the runAgents platform and its operators.
  • "You," "User," or "Customer" — anyone who accesses or uses runAgents, whether an individual or legal entity.
  • "Team" — a group of Users within a single account managed by an Administrator.
  • "Agent" — any AI agent (including OpenClaw-based agents) deployed, configured, or managed through our Platform, regardless of the underlying LLM or model provider.
  • "Agent Actions" — any and all actions, outputs, communications, API calls, data transmissions, file operations, or behaviours performed by an Agent, whether intended or unintended, authorised or unauthorised, predictable or unpredictable.
  • "Platform" — the runAgents web application, dashboard, APIs, and all associated services.
  • "Subscription" — a paid plan giving access to specific features and usage limits.
  • "Content" — any data, text, files, instructions, prompts, configurations, API keys, credentials, or outputs you create, upload, or provide.
  • "Third-Party Services" — any external service, API, model provider, tool, or integration that an Agent connects to or interacts with, including but not limited to LLM providers (Anthropic, OpenAI, etc.), communication platforms, databases, and cloud services.

3. Eligibility

To use runAgents, you must:

  • Be at least 18 years of age.
  • Have the legal authority to enter into a binding contract under Indian law.
  • If acting on behalf of a company or organisation, have the authority to bind that entity to these Terms.
  • Not be barred from using our services under applicable law.

By using the Platform, you confirm and warrant that you meet all of the above requirements.

4. Account Registration & Team Management

4.1 Creating an Account

When registering, you agree to:

  • Provide accurate, current, and complete information.
  • Keep your account credentials (username, password) secure and confidential.
  • Notify us immediately at support@runagents.co if you suspect unauthorised access.
  • Not share your account or allow others to use your login credentials.

You are solely responsible for all activity that occurs under your account, including all Agent Actions initiated from your account, whether or not you authorised or intended those actions.

4.2 Team Accounts

When you create or join a team workspace:

  • The workspace creator is the Administrator and is responsible for managing members, permissions, billing, and all Agent activity within the workspace.
  • Administrators may invite team members by email. Invited members must accept the invitation to join.
  • Administrators can set role-based permissions for team members.
  • If you are a team member, the Administrator's organisation is responsible for your use of the Platform and all Agent Actions under their account.
  • The Administrator is responsible for ensuring all team members comply with these Terms.

We reserve the right to restrict, suspend, or terminate any account that violates these Terms, without prior notice and without liability.

5. The runAgents Service

5.1 What We Provide

  • A graphical dashboard to deploy and configure AI agents without writing code.
  • Real-time monitoring, cost tracking, and activity feeds for your agents.
  • Debugging and inspection tools to diagnose agent issues.
  • Team management features including member invitations, roles, and access controls.
  • Infrastructure management so you do not need to manage servers, terminals, or Docker environments.

5.2 What We Explicitly Do NOT Provide

runAgents is not responsible for, and makes no guarantees regarding:

  • The actions, outputs, decisions, or behaviours of any AI agent, including errors, omissions, hallucinations, unintended actions, or harmful outputs.
  • The accuracy, safety, reliability, correctness, or appropriateness of any agent output or action.
  • Prompt engineering, prompt management, or evaluation/scoring of agent responses — these remain entirely your responsibility.
  • The underlying AI models, their training data, biases, limitations, safety features, or reliability.
  • Any Third-Party Services, APIs, or integrations your agent connects to.
  • Supervising, auditing, verifying, validating, monitoring, or intervening in agent behaviour at runtime.
  • Restricting, securing, sandboxing, or containing agent actions beyond the tools provided in our dashboard.
  • Preventing agents from accessing, transmitting, modifying, or deleting data they have been given access to.
  • The security or availability of any Third-Party Service that your agent interacts with.

5.3 Service Availability

We aim to keep runAgents available but do not guarantee uninterrupted, error-free, or continuous service. We may perform maintenance with or without prior notice. We will make reasonable efforts to communicate planned downtime in advance but are under no obligation to do so.

6. AI Agent Risk Acknowledgement

THIS IS A CRITICAL SECTION. BY USING RUNAGENTS, YOU ACKNOWLEDGE AND ACCEPT THE FOLLOWING:

6.1 Nature of AI Agents

You acknowledge that:

  • AI agents are experimental, unpredictable, and inherently risky technology. They may behave in ways that are unexpected, unintended, incorrect, or harmful.
  • AI agents operate with a degree of autonomy. Once deployed, an agent may take actions that you did not explicitly instruct, anticipate, or authorise.
  • The behaviour of AI agents depends on underlying LLMs, model updates, prompt configurations, and external conditions — none of which runAgents controls.
  • AI model providers may change, update, deprecate, or discontinue their models at any time, which may fundamentally alter agent behaviour without warning.
  • OpenClaw is a third-party, community-developed open-source project. runAgents has no control over its development, security, architecture, bugs, vulnerabilities, or roadmap. runAgents does not contribute to, audit, or verify the OpenClaw codebase. Any security flaws, vulnerabilities, backdoors, or bugs embedded in or introduced to OpenClaw — whether present at the time of deployment or introduced through future updates — are entirely outside our control and responsibility.
  • You are solely responsible for evaluating whether OpenClaw (and the specific version you deploy) is suitable, secure, and appropriate for your use case.

6.2 Potential Agent Risks

Without limiting the generality of the above, you acknowledge that agents may:

  • Take unintended actions — including sending communications, making API calls, modifying data, deleting files, or executing transactions you did not authorise.
  • Generate inaccurate, misleading, or harmful content — including hallucinated facts, defamatory statements, or legally problematic outputs.
  • Leak or expose data — including transmitting sensitive information (API keys, credentials, personal data, proprietary information) to Third-Party Services, LLM providers, or unintended recipients.
  • Exceed intended scope — including accessing systems, data, or services beyond what you intended to grant access to.
  • Consume excessive resources — including making more API calls, using more compute, or incurring more third-party costs than expected.
  • Interact with external systems in harmful ways — including sending spam, making unauthorised purchases, corrupting databases, or disrupting third-party services.
  • Be exploited by malicious actors— including through prompt injection, jailbreaking, social engineering of the agent, or exploitation of vulnerabilities in the agent's configuration.
  • Fail silently — including appearing to function correctly while producing incorrect results or taking unintended actions.

6.3 Your Sole Responsibility

You are solely and entirely responsible for:

  • All Agent Actions, whether intended or unintended, authorised or unauthorised, predictable or unpredictable.
  • Configuring appropriate permissions, guardrails, rate limits, and access controls for your agents.
  • Monitoring agent activity and reviewing agent outputs before acting on them.
  • Implementing human-in-the-loop controls for any high-stakes, irreversible, or financially significant agent actions.
  • Ensuring agents do not access systems, data, or services they are not authorised to access.
  • Any and all consequences of Agent Actions on your systems, your data, your customers' data, third-party systems, and any other affected parties.
  • Complying with all applicable laws and regulations related to your use of AI agents, including data protection, consumer protection, and industry-specific regulations.
  • Ensuring any AI-generated content or actions comply with applicable advertising, disclosure, and consumer protection standards.
  • Obtaining any necessary consents from individuals whose data may be processed by your agents.

6.4 No Duty to Monitor

runAgents has no obligation to monitor, review, audit, supervise, or intervene in Agent Actions. Any monitoring tools we provide (including activity feeds, logs, and cost tracking) are provided as a convenience and do not constitute a guarantee of detection or prevention of harmful agent behaviour. These tools are provided on a "best-effort" basis and may fail, be incomplete, have delays, or miss agent actions entirely.

6.5 Emergency Agent Suspension

runAgents reserves the right to immediately suspend, throttle, or terminate any Agent (or your entire account) if we reasonably believe — in our sole discretion — that an Agent is:

  • Causing or likely to cause harm to our infrastructure, other users, or third parties.
  • Sending spam, making unauthorised API calls, or disrupting external services.
  • Generating illegal content or facilitating illegal activity.
  • Being exploited by malicious actors.
  • Consuming resources at a rate that threatens platform stability.
  • Causing complaints from third parties.

Such emergency suspension is a protective measure and not a breach of these Terms. We will make reasonable efforts to notify you, but are under no obligation to do so before taking action. We shall have no liability for any damages, losses, or consequences arising from such suspension, including lost data, interrupted workflows, or missed business opportunities.

7. Acceptable Use

You agree to use runAgents only for lawful purposes. You must NOT:

  • Deploy agents that perform illegal activities, including fraud, spam, phishing, harassment, or any activity that violates applicable law.
  • Deploy agents that autonomously execute financial transactions, legal commitments, or other irreversible actions without human-in-the-loop oversight.
  • Deploy agents with unrestricted access to production databases, systems containing personal data, or critical infrastructure without appropriate safeguards.
  • Deploy agents that impersonate real humans without clear disclosure to the parties being interacted with.
  • Give agents access to more systems, data, or permissions than strictly necessary for the intended task (principle of least privilege).
  • Attempt to reverse-engineer, decompile, or extract the source code of the Platform.
  • Use the Platform to scrape or harvest data from websites or services without authorisation.
  • Upload or transmit viruses, malware, or any malicious code.
  • Circumvent any security measure, access control, or rate limit on the Platform.
  • Use agents to generate or store content that is illegal, defamatory, or infringes on third-party rights.
  • Resell, sublicense, or commercially redistribute the Platform without our written consent.
  • Use agents to interfere with, disrupt, or overload third-party systems or services.
  • Attempt to bypass, disable, or circumvent any agent safety features, guardrails, or limitations.
  • Use the Platform to build a competing product or service.

We reserve the right to immediately suspend or terminate your account if you violate these rules, without prior notice, without refund, and without liability to you.

8. Your Content, Data & API Keys

8.1 Ownership

You retain ownership of all Content you submit to or create on the Platform. We do not claim intellectual property rights over your Content.

8.2 Licence to Us

By submitting Content, you grant runAgents a limited, non-exclusive, royalty-free licence to store, process, and display your Content solely for the purpose of providing and improving the Service. We will not sell your Content or use it to train AI models without your explicit consent.

8.3 API Keys & Third-Party Credentials

You acknowledge and agree that:

  • You are solely responsible for the security of any API keys, tokens, passwords, or credentials you provide to the Platform or to your agents.
  • runAgents is not liablefor any charges, costs, damages, or losses incurred on Third-Party Services due to Agent Actions (e.g., if an agent incurs excessive charges on an LLM provider's API).
  • You should use scoped, rate-limited, and minimally privileged API keys wherever possible.
  • You should rotate credentials regularly and revoke them immediately if you suspect compromise.
  • If an agent leaks, exposes, or misuses your API keys or credentials (whether due to misconfiguration, agent error, prompt injection, or any other cause), runAgents bears no liability.
  • We encrypt stored credentials using industry-standard encryption, but no security system is perfect, and we cannot guarantee absolute security of stored credentials.

8.4 Your Responsibilities

You confirm and warrant that:

  • You have all necessary rights to submit the Content.
  • Your Content does not violate any applicable law or third-party rights.
  • You will not instruct agents to access systems or data you are not authorised to access.
  • You will not provide agents with access to sensitive data (personal data, financial data, health data, etc.) unless you have implemented appropriate safeguards and obtained any required consents.
  • You accept full responsibility for all consequences of providing data, credentials, or access to your agents.

9. Data Processing & Agent Data Flows

9.1 Data Processed by Agents

You acknowledge that when you deploy an AI agent:

  • Your agent may transmit data to Third-Party Services, including LLM providers (Anthropic, OpenAI, Google, etc.), API endpoints, databases, communication platforms, and other external systems.
  • Once data leaves our infrastructure and is transmitted to a Third-Party Service by your agent, that data is governed by the Third-Party Service's own privacy policy and terms — not ours.
  • We have no control over, and accept no responsibility for, how Third-Party Services handle, store, retain, or use data that your agent transmits to them.
  • LLM providers may log, store, or use data sent to their APIs for their own purposes, including model training, unless you have separate agreements with those providers.
  • You are solely responsible for understanding and accepting the data handling practices of every Third-Party Service your agent connects to.

9.2 What We Can See

In the course of providing the Service, we may have access to:

  • Agent configuration data (prompts, settings, schedules).
  • Agent activity logs and metadata (timestamps, API call counts, error logs).
  • Cost and usage metrics.

We access this data only to provide and improve the Service and do not use it for any other purpose. See our Privacy Policy for full details.

9.3 What We Cannot See (and Are Not Responsible For)

We generally do not inspect the content of agent conversations, LLM responses, or data transmitted between your agent and Third-Party Services. We are not responsible for monitoring, filtering, or auditing the content of agent interactions.

10. Subscriptions & Payments

10.1 Plans & Pricing

runAgents offers paid subscription plans. Details are available on our website. We reserve the right to change pricing with 30 days' notice to existing subscribers. Price changes take effect at the start of the next billing cycle.

10.2 Billing

By subscribing, you authorise us (or our payment processor) to charge your payment method on a recurring basis. You agree to keep your payment information accurate and up to date. All payments are processed by a third-party payment gateway. We do not store your full card details on our servers.

10.3 Third-Party Costs

You are solely responsible for all costs incurred on Third-Party Services as a result of Agent Actions, including but not limited to LLM API usage charges, cloud compute costs, messaging API fees, and any other charges. runAgents does not monitor, cap, or control third-party costs. Our cost tracking features are provided as estimates only and are not guarantees.

10.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by applicable law, including GST under Indian law.

10.5 Refunds

We do not offer refunds for partial subscription periods. If you cancel mid-cycle, you will retain access until the end of the paid period. Refund requests may be considered on a case-by-case basis at our sole discretion. Contact support@runagents.co.

10.6 Non-Payment & Suspension

If we are unable to collect payment, we may suspend or downgrade your account after providing reasonable notice. Upon suspension for non-payment, agents will be immediately stopped. Continued non-payment may result in account termination and deletion of your data in accordance with our data retention policy.

11. Intellectual Property

The Platform — including its design, code, features, branding, and all associated materials — is owned by runAgents and protected under Indian copyright, trademark, and intellectual property laws. Nothing in these Terms transfers any IP rights to you.

"runAgents" and associated logos are trademarks of runAgents. You may not use them without prior written consent.

OpenClaw is a third-party, community-developed open-source project governed by its own licence. runAgents makes no claim of ownership over OpenClaw and is not responsible for its development, security, or continued availability. See Section 11A for the full OpenClaw disclaimer.

11A. OpenClaw Open-Source Disclaimer

This section specifically addresses your use of OpenClaw, the open-source AI agent framework that runAgents deploys on your behalf.

11A.1 We Do Not Build, Maintain, or Audit OpenClaw

OpenClaw is an independent, community-developed open-source project. runAgents is not a contributor to, maintainer of, sponsor of, or affiliate of the OpenClaw project. We provide a deployment and management layer on top of OpenClaw — we do not develop, audit, patch, or verify the OpenClaw codebase.

11A.2 Security Flaws in OpenClaw Are Not Our Responsibility

You acknowledge and agree that:

  • Any security vulnerabilities, bugs, backdoors, exploits, or flaws present in the OpenClaw codebase — whether known or unknown, whether present at the time of your deployment or introduced through subsequent community updates — are entirely outside runAgents' control and responsibility.
  • runAgents does not perform security audits, code reviews, penetration testing, or vulnerability assessments of the OpenClaw codebase.
  • runAgents does not guarantee that any version of OpenClaw is free from security vulnerabilities, malware, or defects.
  • If a security flaw in OpenClaw results in data breaches, data leaks, unauthorised access, credential exposure, system compromise, or any other harm — runAgents bears no liability.
  • Community-contributed code, plugins, extensions, or updates to OpenClaw may introduce new vulnerabilities or break existing functionality — runAgents bears no liability for such changes.

11A.3 OpenClaw Updates and Breaking Changes

  • OpenClaw is maintained by its open-source community. The community may release updates, patches, breaking changes, or deprecations at any time.
  • runAgents may or may not update the version of OpenClaw available on our Platform. We are under no obligation to provide the latest version, nor to backport security patches.
  • If an OpenClaw update breaks your agent, changes its behaviour, or introduces vulnerabilities — this is not a failure of the runAgents Platform and we bear no liability.
  • If the OpenClaw project is abandoned, archived, or discontinued by its community, runAgents is under no obligation to maintain, fork, or replace it.

11A.4 Your Due Diligence

You are solely responsible for:

  • Evaluating whether OpenClaw is suitable, secure, and appropriate for your use case.
  • Reviewing the OpenClaw licence terms and complying with them.
  • Staying informed about known vulnerabilities, security advisories, and updates related to OpenClaw.
  • Implementing your own security measures on top of what OpenClaw provides.
  • Accepting the inherent risks of deploying software built on community-maintained open-source code.

12. Third-Party Services

12.1 General

Your use of Third-Party Services through runAgents is governed by those services' own terms and conditions. We strongly recommend you review the terms and privacy policies of every Third-Party Service your agent connects to.

12.2 No Responsibility

We are not responsible for:

  • The availability, accuracy, security, or reliability of any Third-Party Service.
  • Any loss, damage, cost, or liability caused by Third-Party Services, including API changes, outages, data breaches, or policy changes.
  • The privacy practices of Third-Party Services.
  • Data transmitted to Third-Party Services by your agents.
  • Changes to Third-Party Service terms, pricing, or APIs that affect your agents.

12.3 LLM Provider Disclaimer

LLM providers (Anthropic, OpenAI, Google, Meta, etc.) are Third-Party Services. We do not control their models, outputs, safety features, data retention practices, or API availability. Changes to LLM provider models, APIs, or policies may break, alter, or degrade your agent's functionality without warning. We are not liable for any such changes.

13. Confidentiality

Each party agrees to keep the other's confidential information (including account data, pricing, and technical details) confidential and not disclose it to third parties without prior written consent.

This obligation does not apply to information that is: (a) publicly available, (b) independently developed, (c) lawfully obtained from a third party, or (d) required to be disclosed by law, regulation, or court order.

Note: Data transmitted by your agents to Third-Party Services is not considered confidential information in our possession, as we do not control those transmissions.

14. Disclaimers & Limitation of Liability

14.1 No Warranty — AS IS

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. To the maximum extent permitted by law, we expressly disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Any warranty that the Platform will be error-free, uninterrupted, secure, or meet your specific requirements.
  • Any warranty regarding the accuracy, reliability, safety, or correctness of any agent output or action.
  • Any warranty regarding the availability, security, or reliability of Third-Party Services.
  • Any warranty that our monitoring, logging, or debugging tools will detect all agent actions or errors.

14.2 AI-Specific Disclaimers

Without limiting Section 14.1, we specifically disclaim all liability for:

  • Any and all Agent Actions, including but not limited to: unintended communications, unauthorised data transmissions, incorrect outputs, harmful content generation, excessive API consumption, data leaks, data corruption, data deletion, unauthorised transactions, or any other action taken by an agent.
  • Agent security failures, including but not limited to: prompt injection attacks, jailbreaking, credential theft, agent exploitation by malicious actors, or unauthorised access gained through agent vulnerabilities.
  • Agent misconfiguration, including but not limited to: overly permissive access controls, inadequate guardrails, improper prompt design, or failure to implement human-in-the-loop controls.
  • Data breaches or leaks caused by or facilitated by agents, regardless of whether the breach was due to agent behaviour, misconfiguration, third-party vulnerabilities, or any other cause.
  • Third-party claims arising from Agent Actions, including claims by individuals whose data was processed by your agent, services disrupted by your agent, or parties harmed by agent outputs.
  • Financial losses resulting from Agent Actions, including unauthorised purchases, excessive API costs, lost business, or regulatory fines.
  • OpenClaw vulnerabilities, bugs, or defects, including any security flaw, exploit, or malfunction in the OpenClaw codebase — whether present at deployment or introduced through community updates — and any damages arising therefrom.
  • Hacking, exploitation, or compromise of agents, regardless of whether the attack vector was through OpenClaw vulnerabilities, prompt injection, misconfiguration, third-party service vulnerabilities, or any other means.

14.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) runAgents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, regardless of the cause of action or theory of liability, including but not limited to:

  • Loss of profits, revenue, data, business, or business opportunities.
  • Cost of procurement of substitute services.
  • Reputational damage.
  • Actions taken by AI agents, including mistakes, errors, unintended consequences, data leaks, or security incidents.
  • Security incidents resulting from your failure to maintain proper credentials, configurations, or authorisations.
  • Damages arising from agent interactions with Third-Party Services.
  • Regulatory fines, penalties, or legal costs arising from Agent Actions.
  • Loss of data or corruption of data caused by agents.

(b) Our total aggregate liability to you for any and all claims arising out of or related to these Terms or the Platform shall not exceed the lesser of:

  • The total amount you paid to runAgents in the three (3) months immediately preceding the event giving rise to the claim; or
  • INR 50,000 (Indian Rupees Fifty Thousand).

(c) The limitations in this Section apply regardless of whether we have been advised of the possibility of such damages and regardless of whether any limited remedy fails of its essential purpose.

(d) You agree that without these limitations, we would not be able to provide the Service at its current pricing.

14.4 Indemnification

You agree to indemnify, defend, and hold harmless runAgents, its founders, officers, employees, contractors, agents, and affiliates from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees and costs) arising out of or relating to:

  • Your use of the Platform.
  • Agent Actions (whether intended or unintended).
  • Your Content or data processed by your agents.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Third-party claims resulting from Agent Actions, including data protection claims, intellectual property claims, and negligence claims.
  • Your failure to implement adequate safeguards, monitoring, or controls for your agents.
  • Claims by your customers, users, or any third party affected by Agent Actions.
  • Your use of or reliance on agent outputs.
  • Fines, penalties, or sanctions imposed by any regulatory authority related to your use of agents.

This indemnification obligation survives termination of these Terms and your account.

15. Termination

15.1 By You

You may terminate your account at any time by contacting support@runagents.co or through your account settings. All running agents will be stopped upon termination. Termination does not entitle you to a refund of any paid fees.

15.2 By Us

We may suspend or terminate your account, with or without notice, if:

  • You violate these Terms.
  • We are required to do so by law or court order.
  • We discontinue the Platform (with reasonable notice where possible).
  • Your account or agents pose a security, legal, or operational risk to us, our infrastructure, or other users.
  • You fail to pay fees owed.
  • We determine, in our sole discretion, that your use of the Platform is harmful or potentially harmful.

15.3 Effect of Termination

Upon termination:

  • Your access to the Platform will cease immediately.
  • All agents will be stopped.
  • Your data may be deleted after a 30-day retention period.
  • We are under no obligation to preserve, export, or return your data after the retention period.
  • Any provision of these Terms that by its nature should survive termination shall survive, including Sections 6, 8, 9, 12, 13, 14, 16, and 17.

16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

16.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation for a period of 30 days.

If not resolved, the dispute shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator mutually agreed upon, or failing agreement, appointed in accordance with the Act. The seat of arbitration shall be in India. The language of arbitration shall be English. The arbitral award shall be final and binding.

16.3 Injunctive Relief

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm.

16.4 Class Action Waiver

To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date and notify you by email or via a prominent notice on the Platform.

Your continued use of the Platform after the revised Terms take effect constitutes your acceptance. If you do not agree, you must stop using the Platform and terminate your account.

We reserve the right to make changes that take effect immediately for security, legal compliance, or emergency reasons.

18. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and runAgents regarding the Platform. They supersede all prior agreements, communications, and understandings.
  • Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
  • No Waiver: Our failure to enforce any right or provision shall not be considered a waiver of that right. Any waiver must be in writing.
  • Assignment: You may not assign your rights or obligations without our prior written consent. We may assign ours freely, including in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: We shall not be liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to: internet outages, natural disasters, government actions, pandemics, cyberattacks, third-party AI model provider outages or changes, OpenClaw project changes/bugs/discontinuation, open-source project vulnerabilities or discontinuations, changes to underlying LLM APIs, and acts of third parties.
  • Survival: Sections 6, 8, 9, 12, 13, 14, 16, and 18 survive termination of these Terms.
  • Notices: We may send notices via email to the address on your account or via the Platform dashboard. You must send notices to support@runagents.co.
  • Headings: Section headings are for convenience only and have no legal effect.
  • Relationship: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and runAgents.
